Terms of Service

These terms govern your use of SleepyBid. They are written in plain English so you know exactly what you are agreeing to. By creating an account or using the service, you accept these terms.

What SleepyBid is

SleepyBid is an AI assistant that helps freelancers bid on Upwork. It discovers jobs from your own saved searches, scores them for fit, and drafts tailored proposals in your voice. A Chrome extension carries out actions inside your own browser and your own Upwork session — SleepyBid never receives your Upwork password or session cookies, and our servers never connect to Upwork directly.

Eligibility

You must be at least 18 years old to use SleepyBid. By using the service you confirm that you are 18 or older and that the Upwork account you use it with is your own.

Upwork’s Terms of Service — the risk you accept

This is important, so we say it plainly: automated bidding conflicts with Upwork’s Terms of Service. Using SleepyBid to submit proposals automatically may put your Upwork account at risk, including suspension or a ban by Upwork.

When you arm auto-send, you acknowledge and accept this risk, and you agree that you — not SleepyBid — are responsible for how you use the service and for any consequences on your Upwork account. SleepyBid gives you controls (fit thresholds, daily caps, and a kill switch) to keep activity conservative and under your command, but it cannot eliminate this risk.

Acceptable use

You agree to use SleepyBid only on your own account and to not:

  • Use it on an account that is not yours, or on behalf of others as a service.
  • Attempt to defeat, reverse-engineer, or resell the software.
  • Use it to send spam, fraudulent, or deceptive proposals.
  • Use it for any unlawful purpose.

We may suspend or terminate accounts that abuse the service or these terms.

Plans, billing, and cancellation

  • Plans are billed monthly.
  • New accounts start with a 7-day trial that requires no card.
  • Payments are processed by Stripe. We never see or store your card number.
  • You can cancel anytime through the Stripe billing portal. Your plan stays active through the end of the current billing period.

Refunds are handled through Stripe on a case-by-case basis — email hello@sleepybid.com if something went wrong and we will make it right where we reasonably can.

Who owns what

You own your content. The freelancer profile you import and the proposals drafted for you are yours to use however you like. We own the SleepyBid software, brand, and underlying technology — using the service does not transfer any rights to it.

No warranty

SleepyBid is provided “as is” and “as available,” without warranties of any kind. We do not promise any particular income, number of jobs won, or other specific result. Bidding outcomes depend on many factors outside our control.

Limitation of liability

To the maximum extent permitted by law, SleepyBid’s total liability to you for any claim arising from your use of the service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or the suspension of an Upwork account.

Termination

You can stop using SleepyBid and cancel at any time. We may suspend or terminate your access if you breach these terms or abuse the service. On termination, your right to use the service ends; the ownership, disclaimer, and liability sections above survive.

Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Continuing to use SleepyBid after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the operator’s jurisdiction, without regard to conflict-of-law rules.
